Professional Terms of Service

1. Introduction & Acceptance

These Professional Terms of Service ("Terms") govern the access and use of the ALegalLife directory and related professional tools by licensed attorneys, law firms, and their authorized representatives ("Professional", "you", or "your"). By creating a professional profile, accessing the directory, or using our services, you agree to be bound by these Terms.

2. Not a Law Firm; Platform Only

ALegalLife is a technology platform and directory service, not a law firm, lawyer referral service, or legal entity. We do not provide legal advice, representation, or legal services. No attorney-client, partnership, joint venture, or professional relationship is formed between ALegalLife and the Professional.

3. Professional Compliance & Representations

By joining ALegalLife, you warrant and represent that you are a licensed attorney in good standing in your respective jurisdiction(s), or a legitimate law firm employing such attorneys. ALegalLife does not independently verify all credentials, disciplinary histories, or licenses, and bears no responsibility or liability for doing so. It is your sole responsibility to ensure your profile accurately reflects your current licensing status.

4. Directory Listings & Rankings

ALegalLife provides a directory for consumers to find legal professionals. However, rankings, placement, visibility, and the ordering of search results within the directory are determined at ALegalLife's sole discretion and may change at any time without notice.

We make no guarantee of leads, introductions, client inquiries, or business outcomes resulting from your presence on the platform. Professional expressly waives all claims, damages, or grievances related to ranking position, directory placement, search result ordering, or overall visibility on ALegalLife.

5. Content License & Responsibility

You retain ownership of any content you upload to ALegalLife, including your profile information, bio, and blog posts. By uploading content, you grant ALegalLife a perpetual, worldwide, non-exclusive, royalty-free license to display, reproduce, adapt, and distribute your content across the platform and our marketing channels. You are solely responsible for the accuracy of your profile, credentials, stated practice areas, and any advice or information provided in your blog posts.

6. AI Content Moderation

To maintain the quality and educational tone of the platform, blog posts and other submitted content may be reviewed by AI-assisted moderation tools. ALegalLife reserves the right to reject, flag, edit (for formatting), or remove any content at its sole discretion, without explanation or liability to the Professional.

7. Profile Removal & Suspension

ALegalLife reserves the right to remove, demote, or suspend any professional profile, firm listing, or user account at its sole discretion, for any reason or no reason, at any time, without prior notice and without liability.

8. Attorney-Client Privilege & Ethical Obligations

ALegalLife is not a party to any attorney-client relationship formed between you and a consumer using our platform. You agree not to share, request, or upload any privileged client information to the public areas of the platform. You are solely responsible for your own compliance with all applicable rules of professional conduct, ethical obligations, advertising rules, and state bar regulations.

9. Indemnification

Professional agrees to indemnify, defend, and hold harmless ALegalLife, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the platform; (b) your uploaded content; (c) your interactions, advice, or relationships with potential or actual clients; (d) any violation of these Terms; (e) your violation of any law, rule of professional conduct, or bar regulation; or (f) any claim by a third party related to your professional services.

10. Disclaimer of Warranties

THE PLATFORM AND ALL PROFESSIONAL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALEGALLIFE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALEGALLIFE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM. ALEGALLIFE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT PAID BY YOU TO ALEGALLIFE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Binding Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The place of arbitration shall be Sheridan, Wyoming.

WAIVER OF RIGHT TO JURY TRIAL: Both parties agree to waive their right to a trial by jury.

CLASS ACTION WAIVER: Professional agrees that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Informal Resolution: Before commencing arbitration, you must provide written notice to ALegalLife and allow a 30-day informal resolution period. A small claims court exception applies for claims qualifying under the applicable jurisdiction's monetary limits.

13. Subscription & Payment Terms

Certain directory tiers and features are offered on a subscription basis. While some tiers are currently free, future paid tiers may be introduced. ALegalLife reserves the right to change pricing, introduce new fees, or modify subscription tiers with thirty (30) days' notice. There are no refunds or credits for partial subscription periods unless legally required.

14. Modifications to Terms

ALegalLife may modify or update these Professional Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the platform after such modifications constitutes your acknowledgment and acceptance of the revised Terms.

15. Governing Law

These Terms and any disputes arising under or related to these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
